IT Due Diligence for Mergers and Acquisitions
Know What You Are Actually Buying Before You Close
Most acquisition disappointments trace back to technology surprises that surfaced in the first 90 days post-close. Modo Networks delivers IT due diligence and technology due diligence for acquirers - private equity firms, family offices, strategic buyers, operating partners - so you walk into close with a clear picture of the IT environment and a 100-day integration plan.
Talk to Us About a Diligence Engagement
IT Due Diligence and Technology Due Diligence for Dallas-Fort Worth M&A Transactions
When you acquire a business you are also acquiring its IT environment - the servers, the cloud accounts, the line-of-business applications, the security posture, the technical debt, the vendor contracts, and whatever the previous owner did or did not do to keep it all running. What looks fine in a financial spreadsheet often hides surprises that surface in the first 90 days post-close, and by then they are your problem.
Modo Networks runs IT due diligence for acquirers - private equity firms, family offices, strategic buyers, operating partners, and corporate development teams - across Dallas-Fort Worth and the broader Texas market. This is a paid diligence service we provide as part of a transaction. It is not the same as our regular managed IT services or assessment work for ongoing customers. The deliverable is a transaction-grade report that tells you what you are buying, what it will cost to integrate, and what risks should be priced into the deal. Where the target carries regulatory exposure, we work alongside our compliance services team to surface CMMC, PCI DSS, HIPAA, or SOC 2 gaps that could affect deal value.
We have been running IT environments for Dallas-Fort Worth businesses since 2008, including many in the industries where M&A activity concentrates - manufacturing, distribution, plumbing wholesale, and professional services. That operating background is what makes the diligence useful. We do not just inventory what is there. We tell you what it means, what it costs to integrate, and what we would do in your position. The same operating muscle informs our cybersecurity services work, which is often the single biggest risk category in a mid-market technology environment and the area acquirers most want clarity on before close.
How a Modo Diligence Engagement Works

Transaction-Grade Reports
Our diligence deliverable is built for investment committees, not internal IT teams. Executive summary, risk register, integration cost estimate, and detailed appendices for technical reviewers.

Fast Turnaround
We work to transaction timelines. Most engagements complete in 2-4 weeks depending on scope. Expedited timelines are available for tight close dates.

Cybersecurity Reality Check
We surface the cybersecurity risks that matter to acquirers - unpatched systems, weak access controls, missing backups, recent breach indicators - and price the remediation into the deal.

Compliance Exposure
If the target has compliance obligations (CMMC for defense subcontracting, PCI DSS for card processing, HIPAA for healthcare data), we identify the gap between current state and required state.

Operating Background
We have run IT for businesses like the ones being acquired. The diligence is informed by what actually breaks in those environments, not just what shows up on a checklist.

Post-Close Continuity
We can handle Day-1 IT support and integration management after close. Many acquirers retain us through the first 100 days to execute the integration plan we delivered in diligence.
How It Works
Engagement Scope
We meet with your transaction team, understand the deal, and scope the diligence to what matters for this transaction. Pricing is fixed-fee per engagement, scaled to target size and complexity.
Information Gathering
We work with the target's IT and operations teams under your NDA. Discovery covers infrastructure, applications, vendors, security, compliance, and any specific concerns the deal team flagged.
Analysis and Reporting
We produce the diligence report - executive summary, risk register, integration cost, day-1 plan, and detailed technical appendices. You get a draft for review before the final.
Pre-Close Briefing and Q&A
We brief your investment committee or transaction team, answer questions, and update the report with any new information that surfaces during final negotiations.
Optional Day-1 and Integration Support
If you retain us post-close, we run the IT environment from Day 1 and execute the integration roadmap. The diligence work feeds directly into the operating plan.

M&A IT Due Diligence FAQ
Is this a certification or a formal compliance review?
No. Modo Networks does not certify, attest to, or formally review IT environments in a regulatory sense. This is an IT due diligence engagement - a technology evaluation produced for an acquirer in a transaction. We assess and report; we do not certify or attest. The framing matters because we are an IT services firm, not a certification body.
Who is this for?
Acquirers - private equity firms, family offices, strategic buyers, operating partners, corporate development teams - evaluating an acquisition target's IT environment. It is not for the target company unless the target itself is commissioning the report (e.g. for sell-side preparation).
How long does diligence take?
Most engagements complete in 2-4 weeks. We can move faster when the timeline requires it - expedited engagements compress the discovery phase by working in parallel rather than sequentially. Tell us your close date and we will tell you what is realistic.
What industries do you have the most experience with?
We have deep operating experience in manufacturing, distribution, plumbing wholesale, professional services, healthcare, and financial services in DFW. M&A activity concentrates in those sectors and we have done diligence and post-close work in all of them.
How does pricing work?
Fixed fee per engagement, scaled to target size and scope. We can also work hourly for narrow-scope reviews (e.g. a focused cybersecurity check on a specific concern). Pricing is provided after a 30-minute scoping call.
Will you do post-close integration too?
Yes, optionally. Many acquirers retain us through the first 100 days to execute the integration plan we delivered. Continuity matters - the team that ran the diligence already knows the environment.
Can you handle multiple acquisitions for the same acquirer?
Yes. PE firms and strategic acquirers with active deal flow often retain us as the standing IT diligence partner. We standardize the deliverable format across deals so investment committees can compare across portfolio targets.
